Referral Agreement

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ENROLLING IN THE REFERRAL PROGRAM.

BY ENROLLING IN THE REFERRAL PROGRAM YOU ARE AGREEING TO BE BOUND BY THIS REFERRAL AGREEMENT.

This Referral Agreement (“Agreement”) is between Weave Grid, Inc. ("WeaveGrid"), and the user agreeing to this Agreement (“User”).

1. Scope

User intends to refer new drivers to enroll in one of the programs detailed in Exhibit A, attached hereto and incorporated herein (the “Referral Program”). Such new drivers who: (i) meet the eligibility requirements, (ii) are referred in accordance with the referral process, and (iii) meet the reward criteria, as (i), (ii) and (iii) are all specified in Exhibit A, are referred to as “Referred Party” herein.

2. No Warranty

WEAVEGRID MAKES NO WARRANTIES TO USER OR REFERRED PARTY WITH RESPECT TO THE REFERRAL PROGRAM.

3. Referral Program Modifications and Termination

a. Referral Program Modifications and Termination.  WeaveGrid may modify, through an online process, or terminate the Referral Program at any time and without prior notice.

b. Post-Termination Reward Payments.  WeaveGrid will pay all rewards that are fully earned and owed at the time of Referral Program termination, but will not pay any partially earned or unearned rewards post termination of this Agreement.

4. Liability Limit

a. EXCLUSION OF INDIRECT DAMAGES. TO THE MAXIMUM EXTENT ALLOWED BY LAW, WEAVEGRID IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT (INCLUDING, WITHOUT LIMITATION, COSTS OF DELAY; LOSS OF OR UNAUTHORIZED ACCESS TO DATA OR INFORMATION; AND LOST PROFITS, REVENUE, OR ANTICIPATED COST SAVINGS), EVEN IF IT KNOWS OF THE POSSIBILITY OR FORESEEABILITY OF SUCH DAMAGE OR LOSS.

b. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT ALLOWED BY LAW, WEAVEGRID’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT (WHETHER IN CONTRACT, TORT, OR OTHERWISE) DOES NOT EXCEED THE AMOUNT OWED BY WEAVEGRID UNDER THIS AGREEMENT WITHIN THE 3-MONTH PERIOD PRIOR TO THE EVENT THAT GAVE RISE TO THE CLAIM WITH RESPECT TO THE LEAD IN DISPUTE.

5. Governing Law and Forum

This Agreement is governed by the laws of the State of California (without regard to conflicts of law principles) for any dispute between the parties or relating in any way to the subject matter of this Agreement. Any suit or legal proceeding must be exclusively brought in the federal or state courts for San Francisco County, California, and all parties submit to this personal jurisdiction and venue. Nothing in this Agreement prevents either party from seeking injunctive relief in a court of competent jurisdiction. The prevailing party in any litigation is entitled to recover its attorneys' fees and costs from the other party.

6. Fraudulent Activity Prohibition and WeaveGrid Discretion

Any actual or attempted fraudulent or other unlawful activity by any User, potential referred party, or Referred Party are strictly prohibited; and any attempt to manipulate the Referral Program or engage in any fraudulent or other unlawful activity, including creating multiple Referral Program accounts or providing false information, may result in disqualification from the Referral Program, in WeaveGrid’s sole discretion. WeaveGrid reserves the right to investigate and take appropriate action against any suspected fraudulent or other unlawful activity.

WeaveGrid reserves the right to and has sole discretion in interpreting and making final decisions on all matters related to the Program, including but not limited to eligibility, rewards, and any disputes.

7. Other Terms

a. Privacy and Opt-Out.  All User and Referred Party personal information will be treated in accordance with the WeaveGrid Privacy Policy. User and Referred Party may opt-out of marketing emails for the referral of the Program using the opt-out link at the base of the invitation email.

b. Entire Agreement and Changes. This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous negotiations or agreements, whether oral or written, related to this subject matter. Neither party is relying on any representation concerning this subject matter, oral or written, not included in this Agreement. No representation, promise, or inducement not included in this agreement is binding. This Agreement may be modified trough an online process provided by WeaveGrid.

Program Specifics

Program Name: ChargePerks California electric vehicle managed charging program

Program Sponsor: Weave Grid, Inc.

Eligibility

The Referral Program is open to all Users who are existing, active participants of the Referral Program, and who have a fully connected Referral Program account. Participants in the Referral Program (both User and Referred Party) must be at least 18 years old and comply with applicable laws and regulations.

Referral Program Referral and Rewards Process

a. User must refer a Referred Party through the designated referral link in User’s invitation email or from User’s Referral Program account dashboard.

b. User’s reward eligibility will be determined, in WeaveGrid’s sole discretion.

c. Referred Party’s reward eligibility will be determined, in WeaveGrid’s sole discretion.

Referral Program Reward Criteria

a. For User and Referred Party to be eligible for rewards, they must meet the eligibility requirements set forth in Section 1 above, follow the referral process in Section 2 above, and Referred Party must meet the criteria set forth below.

b. Referred Party must:

• become enrolled in the Program;
• have demonstrated 15 days of connection prior to WeaveGrid’s monthly assessment.
• become enrolled in the ChargePerks California electric vehicle managed charging program;
• have demonstrated 15 days of connection prior to WeaveGrid’s monthly assessment.

Referral Program Reward Amount and Redemption

a. User will be paid $20 per Referred Party in the form of an electronic gift card. User will receive its reward within 90 days of the Referred Party’s successful enrollment, provided that eligibility and referral process requirements are met.

b. Referred Party will be paid $5 in the form of an electronic gift card. Referred Party will receive their reward within 90 days of its successful enrollment, provided that eligibility and referral process requirements are met.

Program Name: Xcel Energy’s Optimize Your Charge (Colorado, Minnesota, and New Mexico) and Charging Perks programs

Program Sponsor: Weave Grid, Inc.

Eligibility

The Referral Program is open to all Users who are existing, active participants of the Referral Program, and who have a fully connected Referral Program account. Participants in the Referral Program (both User and Referred Party) must be at least 18 years old and comply with applicable laws and regulations.

Referral Program Referral and Rewards Process

a. User must refer a Referred Party through the designated referral link in User’s invitation email or from User’s Referral Program account dashboard.

b. User’s reward eligibility will be determined, in WeaveGrid’s sole discretion.

c. Referred Party’s reward eligibility will be determined, in WeaveGrid’s sole discretion.

Referral Program Reward Criteria

a. For User and Referred Party to be eligible for rewards, they must meet the eligibility requirements set forth in Section 1 above, follow the referral process in Section 2 above, and Referred Party must meet the criteria set forth below.

b. Referred Party must:

• become enrolled in one of the Xcel Energy programs noted above;
• have demonstrated 15 days of connection prior to WeaveGrid’s monthly assessment.

Referral Program Reward Amount and Redemption

a. User will be paid $20 per Referred Party in the form of an electronic gift card. User will receive its reward within 90 days of the Referred Party’s successful enrollment, provided that eligibility and referral process requirements are met.

b. Referred Party will be paid $5 in the form of an electronic gift card. Referred Party will receive their reward within 90 days of its successful enrollment, provided that eligibility and referral process requirements are met.

Program Sponsor: Weave Grid, Inc.

Eligibility

The Referral Program is open to all Users who are existing, active participants of the Referral Program, and who have a fully connected Referral Program account. Participants in the Referral Program (both User and Referred Party) must be at least 18 years old and comply with applicable laws and regulations.

Referral Program Referral and Rewards Process

a. User must refer a Referred Party through the designated referral link in User’s invitation email or from User’s Referral Program account dashboard.

b. User’s reward eligibility will be determined, in WeaveGrid’s sole discretion.

c. Referred Party’s reward eligibility will be determined, in WeaveGrid’s sole discretion.
